Welcome to Slite Electrical Supply Corp. Please read the following Terms and Conditions ("Terms") carefully before using our website or placing an order. By accessing or using this Site, placing an order, or creating an account, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must discontinue use of the Site immediately.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Slite Electrical Supply Corp. ("Slite," "we," "us," or "our"), governing your access to and use of www.slite.us and all associated services (collectively, the "Site").

We are a professional lighting distributor focused on commercial-grade lighting systems for contractors, builders, and facility managers.

2. Eligibility and B2B Use

This Site is intended exclusively for business-to-business (B2B) use by commercial buyers, contractors, resellers, and institutional purchasers. By using this Site, you represent and warrant that:

You are at least 18 years of age
You are acting in a commercial or business capacity, not as a private consumer
You are authorized to form legally binding contracts on behalf of your business or organization
Your use of this Site complies with all applicable laws in your jurisdiction

Slite reserves the right to refuse service, cancel accounts, or reject orders at its sole discretion, including where it suspects a user is acting in a non-commercial capacity or in violation of these Terms. Consumer protection laws that apply exclusively to private individuals may not apply to transactions conducted under these Terms.

3. Product Descriptions, Pricing, and Availability

We make reasonable efforts to maintain accurate product descriptions, specifications, pricing, and stock availability. However:

Product images are for illustrative purposes only and may not exactly represent the delivered item
Pricing is in USD, exclusive of applicable taxes, shipping, and handling fees
We reserve the right to correct pricing errors, update specifications, or discontinue products at any time without prior notice
In the event of a pricing error, Slite may, at its sole discretion: (a) contact you to confirm the corrected price before proceeding, or (b) cancel the order and issue a full refund of any amount paid within 7–10 business days
Product availability is not guaranteed until an order is confirmed in writing by Slite

Slite shall not be liable for any losses or damages arising from reliance on inaccurate pricing, availability, or product information displayed on the Site.

4. Order Acceptance and Cancellation

All orders submitted through this Site are offers to purchase, not confirmed orders. A binding contract is formed only when Slite issues a written order confirmation via email.

Slite reserves the right to refuse, modify, or cancel any order at its sole discretion, including but not limited to cases involving:

Product unavailability or supply chain disruption
Pricing or product description errors
Suspected fraudulent, unauthorized, or abnormal purchasing activity
Failure to meet credit or payment requirements
Export control, sanctions, or regulatory restrictions

Customer-Initiated Cancellations: Orders may be cancelled by the customer only before shipment has been initiated. Once an order has entered fulfillment or shipped, cancellation is subject to our Return Policy. Slite is not liable for any costs, losses, or damages resulting from order cancellations made in accordance with these Terms.

5. Payment Terms

All purchases are due at the time of order unless a credit account has been separately established in writing with Slite.

Accepted payment methods are listed at checkout and subject to change
For approved account holders, net payment terms are as separately agreed in writing
You agree to reimburse Slite for all reasonable costs of collection, including attorney's fees, in the event of non-payment

6. Shipping Policy

Free Ground Shipping: Orders over $3,000 (pre-tax subtotal, continental U.S. only; excludes Alaska, Hawaii, and U.S. territories). Free shipping applies to Ground service only — expedited or LTL services may incur additional charges even on qualifying orders.
Express / Overnight Orders: Must be placed before 11:00 AM CST for same-day shipment. Orders placed after this time will ship the next business day.
LTL Freight: Requires 1–2 business days to process. Not eligible for same-day dispatch. Delivery appointments and unloading are the customer's responsibility.
International Shipping: Available for select products, subject to applicable export regulations, duties, and customs requirements. See Section 10 for full international terms.

Shipping times are estimates only. Slite is not liable for delays caused by carriers, customs, weather, or other factors outside our control. Risk of loss transfers to the customer upon handoff to the carrier.

7. Warranty

All eligible products carry a 5-Year Limited Warranty covering defects in materials and workmanship under normal use and installation, as further described in our full Warranty Policy available at www.slite.us.

Warranty Exclusions (without limitation):

Improper installation or failure to follow manufacturer instructions
Misuse, abuse, neglect, or unauthorized modifications
Damage caused by power surges, extreme environments, or force majeure events
Normal wear and consumable components

DISCLAIMER OF IMPLIED WARRANTIES: EXCEPT AS EXPRESSLY SET FORTH IN OUR WARRANTY POLICY, ALL PRODUCTS ARE PROVIDED "AS IS." SLITE EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

8. Returns, Replacements, and Refunds

Returns, exchanges, and refunds are governed exclusively by our Return Policy, available in full at www.slite.us. Key terms include:

Return requests must be initiated within 90 days of the invoice date
No restocking fee for returns within 30 days of the invoice date; a 20% restocking fee applies for returns initiated between 31–90 days
All returns require a valid RMA (Return Merchandise Authorization) issued by Slite prior to shipment
Non-defective customer-initiated returns: customer is responsible for return shipping; original shipping fees are non-refundable
Defective, damaged, or incorrectly shipped items: must be reported within 10 business days of delivery; Slite will provide a prepaid return label and full refund including original shipping

In the event of conflict between these Terms and the Return Policy, the Return Policy shall govern with respect to returns, replacements, and refunds.

9. Privacy and Data

Your use of this Site is also governed by our Privacy Policy, available at www.slite.us, which is incorporated herein by reference. By using this Site, you consent to the data practices described in our Privacy Policy.

Our primary privacy obligations are governed by U.S. federal law and the laws of the State of Texas, including the Texas Data Privacy and Security Act (TDPSA). We also comply with applicable privacy laws in Canada (PIPEDA) and Mexico (LFPDPPP) to the extent our operations involve customers in those jurisdictions.

10. International Sales

We welcome international business clients. The following conditions apply to all international orders:

All prices are in USD; currency conversion costs are the customer's sole responsibility
Customers are solely responsible for all import duties, VAT, customs taxes, tariffs, and regulatory compliance in their country
Not all products are certified for use outside the United States; it is the buyer's sole responsibility to verify compliance with local electrical codes, safety standards, and certifications before purchase and installation
Slite makes no representations or warranties regarding the suitability, legality, or regulatory compliance of any product for use outside the U.S.
Shipping availability, transit times, and carrier options vary by region and are not guaranteed
Slite reserves the right to decline international orders at its sole discretion

11. Intellectual Property

All content on this Site — including but not limited to text, images, photographs, logos, trademarks, product data, layouts, software, and downloadable assets — is the exclusive property of Slite Electrical Supply Corp. or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, display, transmit, or commercially exploit any content from this Site without prior written consent from Slite. Unauthorized use may result in civil and/or criminal liability.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

(A) SLITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES — INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE — ARISING FROM YOUR USE OF THIS SITE, ANY PRODUCT PURCHASED THROUGH THIS SITE, OR ANY BREACH OF THESE TERMS, EVEN IF SLITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) SLITE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL PURCHASE PRICE PAID BY YOU FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.

(C) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, SLITE'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Slite Electrical Supply Corp. and its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

Your breach of any provision of these Terms
Your use of the Site or any product purchased through it
Your violation of any applicable law or regulation
Your violation of any third-party rights, including intellectual property or privacy rights
Any product installation, application, or use by you or your agents

This indemnification obligation survives termination of your account or these Terms.

14. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles.

Informal Resolution: Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute informally. You must send a written notice of your dispute to info@slite.us, and Slite will have 30 days to respond. If the dispute is not resolved within 30 days of that notice, either party may pursue formal remedies as described below.

Jurisdiction: Any dispute not resolved informally shall be submitted exclusively to the state or federal courts located in Harris County, Texas. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue.

Class Action Waiver: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. CLASS ARBITRATION IS NOT PERMITTED.

15. Force Majeure

Slite is not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, government actions or restrictions, public health emergencies, labor disputes or strikes, supply chain disruptions, raw material shortages, port delays, transportation failures, or utility outages. In such events, Slite's performance obligations are suspended for the duration of the force majeure event, and Slite shall not be liable for resulting delays, cost increases, or inability to fulfill orders.

16. Disclaimer of Site Accuracy and Third-Party Links

The Site may contain links to third-party websites or resources. Slite has no control over and assumes no responsibility for the content, accuracy, or practices of any third-party sites. A link does not constitute an endorsement by Slite.

Slite makes no warranty that the Site will be uninterrupted, error-free, or free of viruses or harmful components. Use of the Site is at your sole risk.

17. Amendments to Terms

Slite reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Revised" date. Your continued use of the Site after any changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

18. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, Return Policy, Warranty Policy, and Shipping Policy (each incorporated herein by reference), constitute the entire agreement between you and Slite regarding your use of the Site and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver: Slite's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any breach shall be deemed a waiver of any subsequent breach.

Assignment: You may not assign or transfer any rights or obligations under these Terms without Slite's prior written consent. Slite may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.
